1. Introduction and Acceptance
These Terms of Service ("Terms") govern your access to and use of YourCampusPal, a B2B multi-tenant school platform ("Service"), operated by Dean I.T. Services, doing business as Dean Ventures ("we," "our," or "us").
By accessing or using YourCampusPal — including the owner hub at app.yourcampuspal.com, our marketing site, and connected school tenant modules — you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Dean I.T. Services.
YourCampusPal provides school operators with tools to brand campuses, manage contacts, provision staff and portal access, link guardians to students, and roll out modular school tenant services. Your use of the Service is subject to compliance with all applicable laws, including the Philippine Data Privacy Act of 2012.
2. Service Description
YourCampusPal is a B2B platform that provides:
- Multi-tenant school hub for owners and operators
- School branding and profile configuration per tenant
- Contacts directory for students, guardians, staff-linked people, and organizations
- Staff platform access and student or guardian portal access provisioning
- Guardian link management across student contacts
- Tenant onboarding, provisioning requests, and modular rollout support
- Authentication and invitations through Clerk
YourCampusPal is not a full LMS or SIS. Modular tenant apps connected to your school subscription may provide additional operational features under separate agreements. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
3. Account Registration and Requirements
3.1 Eligibility
To use the YourCampusPal hub, you represent that you:
- Are at least 18 years of age
- Are a school owner, authorized administrator, or representative of a school operator with authority to bind your organization
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
3.2 Account Creation
You may create a hub account through Clerk authentication or other sign-up methods we provide. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 Account Security
You are responsible for:
- Maintaining the security of credentials used to access YourCampusPal
- Immediately notifying us of any unauthorized use of your account
- Ensuring that staff and portal invitations are sent only to authorized individuals
- Keeping school profile and access records accurate and up to date
4. User Responsibilities
4.1 Legal and Regulatory Compliance
You agree to:
- Comply with all applicable Philippine laws, including the Data Privacy Act of 2012
- Comply with DepEd, CHED, and other regulations applicable to your school type where relevant
- Obtain all necessary consents before storing student, guardian, or staff information in the Service
- Use the Service only for lawful school operations purposes
4.2 Data Accuracy
You are solely responsible for the accuracy, completeness, and legality of all data you upload or enter into YourCampusPal. You represent and warrant that:
- You have the right to store and process all data you enter into the Service
- All contact and access information is collected and stored in compliance with applicable laws
- You have obtained all necessary consents and authorizations required by law
- Your use of the Service does not violate any third-party rights
4.3 Role Separation
YourCampusPal hub access is for school owners and operators. Staff access rows provision logins on school tenant applications — not YourCampusPal admin access. You are responsible for assigning appropriate roles and not granting hub access to unauthorized users.
5. Acceptable Use Policy
You agree not to use YourCampusPal to:
- Violate any applicable local, national, or international law or regulation
- Transmit any content that is unlawful, harmful, threatening, abusive, or defamatory
- Infringe upon the intellectual property rights of others
- Upload viruses, malware, or other harmful code
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service for any illegal or unauthorized purpose
- Reverse engineer, decompile, or disassemble any portion of the Service
- Use automated systems or bots to access or interact with the Service without authorization
- Share hub account credentials with unauthorized third parties
- Process personal information without lawful basis or required consent
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and legal action.
6. Intellectual Property Rights
6.1 Service Ownership
YourCampusPal and all related technology, software, designs, graphics, and content are the exclusive property of Dean I.T. Services or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.
6.2 User Content
You retain all ownership rights to the data and content you upload or enter into YourCampusPal ("User Content"). By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to:
- Store, process, and display your User Content as necessary to provide the Service
- Create backups and maintain service continuity
- Analyze usage patterns to improve the Service (in anonymized form where applicable)
You represent and warrant that you have all necessary rights to grant this license and that your User Content does not infringe upon any third-party rights.
7. Subscription Terms and Payment
YourCampusPal is sold B2B to Philippine schools and operators under contract with Dean I.T. Services. Fees, modules, and terms are defined in your agreement — not through self-serve tiers in the hub. If applicable:
- Subscription fees are billed according to your contract schedule
- All fees are non-refundable except as required by law or as specified in your agreement
- We reserve the right to change pricing for new contracts with reasonable notice
- Failure to pay required fees may result in suspension or termination of your account
- You are responsible for all taxes applicable to your subscription
8. Service Availability and Modifications
While we strive to maintain continuous availability of YourCampusPal, we do not guarantee that the Service will be available at all times. The Service may be unavailable due to:
- Scheduled maintenance and updates
- Unscheduled technical issues or emergencies
- Third-party service interruptions (including Clerk or cloud infrastructure providers)
- Force majeure events beyond our reasonable control
We reserve the right to modify, update, or discontinue any feature or functionality of the Service at any time, with or without notice. We will provide reasonable notice for material changes that adversely affect your use of the Service.
9. Termination
9.1 Termination by You
You may terminate your account by contacting us in accordance with your B2B contract. Upon termination, you will lose access to data stored in your account unless export or retention terms are specified in your agreement.
9.2 Termination by Us
We reserve the right to suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms or our Acceptable Use Policy
- You engage in fraudulent, illegal, or harmful activity
- You fail to pay required fees under your contract
- Your use of the Service poses a security risk to us or other users
- We are required to do so by law or legal process
9.3 Effect of Termination
Upon termination of your account:
- Your right to access and use the Service will immediately cease
- We may delete or anonymize your account data within a reasonable period, except as required by law or contract
- You are responsible for exporting any data you wish to retain before termination where permitted
- All outstanding fees remain due and payable
10. Liability Limitations
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOURCAMPUSPAL AND DEAN I.T. SERVICES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Cost of procurement of substitute services
- Claims related to school records, contact data, or operations performed using the Service
- Damages resulting from service interruptions or unavailability
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Indemnification
You agree to indemnify, defend, and hold harmless Dean I.T. Services, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your User Content or any data you upload to the Service
- Your infringement of any third-party rights
- Your failure to obtain required consents for student, guardian, or staff data
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions.
12.2 Dispute Resolution Process
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to:
- First attempt to resolve the dispute through good faith negotiation
- If negotiation fails, engage in mediation through a mutually agreed mediator
- If mediation fails, submit to the exclusive jurisdiction of the courts of General Santos City, Philippines
13. Miscellaneous
13.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable B2B contract, constitute the entire agreement between you and Dean I.T. Services regarding the use of YourCampusPal.
13.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
13.5 Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a new "Last Updated" date, sending an email notification, or displaying a prominent notice within the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
